The SenderOK system is a unique solution that offers a number of valuable features, including smart email prioritizing, notification about new priority emails, protection from phishing, online business card exchange and online contact management. The SenderOK system comprises a Microsoft Outlook add-in, an Internet Explorer add-on, a Mozilla extension (together hereinafter "SenderOK software"), and the SenderOK website, currently located at: http://www.senderok.com (hereinafter "SenderOK Website"). The SenderOK system is operated by Web CEO Ltd. (hereinafter "Web CEO").

Web CEO provides its services to users subject to the following Terms of Use (hereinafter "Terms"). By using the SenderOK website and the SenderOK software, you agree to be bound by these Terms, whether you are a visitor (which means that you simply browse the SenderOK website) or you are a registered user (which means that you have installed the SenderOK software on your computer and registered a SenderOK account). Please read these Terms carefully. If you do not agree with them, you should leave the SenderOK website, uninstall the SenderOK software and discontinue use of the Web CEO's services immediately.

Web CEO may modify these Terms from time to time and such modifications shall be effective upon posting them on the SenderOK website. You agree to be bound to any changes to these Terms when you use the Web CEO's services after any such modification is posted. It is therefore important that you review these Terms regularly to ensure you are updated to any changes.

To become a SenderOK user, Web CEO offers you to install the SenderOK software that integrates with your email program and/or web browser. After the installation is complete, you will be prompted to provide your name, email address and password to create your SenderOK account. The provided email address and password will be used to sign in to your account on the SenderOK website.

Once you have installed the SenderOK software and registered your SenderOK account, you can start using Web CEO’s services.

The SenderOK software analyzes your previous email behavior and communications to determine the email contacts that are important to you. The emails from these contacts will be assigned one of the three levels of importance - VIP, Important, or Routine. When you receive emails from these contacts, the SenderOK software will alert you with a mail ticker and sound upon receipt of such emails. If you installed the SenderOK plug-in for Ms Outlook, it will also put the virtual copies of these emails into one of the three SenderOK folders in Outlook (VIP, Important, and Routine).

The SenderOK Unread Mail Map, found by clicking on the SenderOK icon in the Windows system tray, summarizes the unread emails from all of your email accounts (both in Outlook and Webmail) and groups them by importance.

The SenderOK software will protect you from phishing attacks and other kinds of email fraud. The SenderOK software verifies a sender’s email address authenticity for participating senders. Once the email authenticity has been verified, the SenderOK software shows icons in the Inbox for verified senders which make sure that a sender is authentic.

If you have the SenderOK software installed on your computer, emails from other SenderOK users will contain a photo business card giving more information about the senders.

With the help of a registration email and a password you can sign in to your SenderOK account on the SenderOK website. When you do this for the first time, you will be prompted to provide personal details (professional headline, location, current employment) and contact details. You can then fill in up to four business cards (Public, Standard, Extended, and Special) to be shared with your business partners and friends.

Whatever information contained in your Public business card shall be open for viewing by anyone on the Web. The data from Standard, Extended and Special business cards shall not be visible to anyone on the Web unless you provide access to it by exchanging business cards. When you exchange business cards with any SenderOK user, this means that you provide access to the data in one of your business cards in exchange for access to the data from that person's business card.

Every user of the SenderOK system is assigned a certain value of Network Power. The Network Power value is calculated automatically with the help of a special algorithm.

By publishing, displaying or uploading any text, links, photos, messages or other data or information on the SenderOK website, you automatically grant to Web CEO nonexclusive, fully-paid and worldwide license to use, copy, perform, display and distribute such information and to prepare derivative works of, or incorporate into other works, such information. User has the right to request that such information be deleted from SenderOK's servers.

The SenderOK website is provided for your personal, non-commercial use only. You may not use the SenderOK website for any illegal or unauthorized purpose. International users agree to comply with all local rules regarding online conduct and acceptable content. You are solely responsible for your conduct and any data, text, information, graphics, photos that you submit to the SenderOK website.

You agree to abide by all applicable local, state, national and international laws and regulations and are solely responsible for all acts or omissions that occur under your account made by you including the content of your transmissions through the SenderOK system. You agree NOT to:

• Publish, distribute and/or disseminate any harmful, obscene, indecent, unlawful, libelous, profane, defamatory, infringing, inappropriate, hateful, or racially, ethnically or otherwise objectionable material or information.
• Submit materials that are unlawful or promote or encourage illegal activity or that would violate the property rights of others.
• Submit materials of any third party without such third party's prior written consent, or materials that falsely express or imply that such materials are sponsored or endorsed by the SenderOK website.
• Create a false or misleading identity of, including, but not limited to, a Web CEO employee, or falsely state or otherwise misrepresent your affiliation with a person or entity, for the purpose of misleading others as to the identity of the sender or the origin of a message or to harvest or otherwise collect information about others.
• Transmit, email or post any material that contains in any form software viruses or such programs as including but not limited to, Trojan horses, worms, time bombs, cancel-bots, computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
• Use the SenderOK website in any unlawful manner or in any other manner that could damage, disable, overburden or impair the SenderOK website.
• Attempt to gain unauthorized access to the SenderOK website, other accounts, computer systems or networks connected to the SenderOK website, through password mining or any other means.
• Reformat or frame any portion of the Web pages that are part of the SenderOK website.
• Distribute any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of such solicitation.
• Collect email addresses or other contact information of the SenderOK users from the SenderOK website by electronic or other means.

Web CEO may, but shall have no obligation to, remove materials that were determine in our sole discretion as unlawful, fraudulent, threatening, libelous, defamatory, obscene or otherwise objectionable, or infringes or violates any party's intellectual property or other proprietary rights or these Terms.

If you are entitled or obligated to act contrary to these Terms under any mandatory law, you agree to provide Web CEO with 30 (thirty) days prior written notice before you act contrary to these Terms to allow Web CEO assess whether we may provide alternative remedy for the situation.

The privacy of SenderOK users is very important to us; hence the use of Web CEO's services is also governed by our Privacy Policy, which is incorporated into the Terms by this reference.

You may not post, distribute or reproduce in any way any copyrighted material, trademarks or service marks or other proprietary information owned by another party without obtaining the prior written consent of the copyright owner. TO THE EXTENT PERMITTED UNDER APPLICABLE LAWS, THE SERVICES ARE PROVIDED "AS-IS" AND AS AVAILABLE AND WEB CEO EXPRESSLY DISCLAIMS ANY WARRANTY AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT AND WEB CEO DOES NOT GUARANTEE AND DOES NOT PROMISE (A) ANY SPECIFIC RESULTS FROM THE USE OF THE SERVICES; (B) THAT THE SERVICES WILL MEET YOUR REQUIREMENTS; (C) THAT THE SERVICES WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; OR (D) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE. WEB CEO DOES NOT ASSUME ANY OBLIGATION TO MONITOR ACTIVITIES ON THE SERVICE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY MAY LAST, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

TO THE EXTENT PERMITTED UNDER APPLICABLE LAWS, WEB CEO SHALL NOT BE LIABLE TO YOU, OR ANY THIRD PARTY, FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES (INCLUDING ALSO LOST PROFITS) ARISING FROM YOUR USE OF THE WEB CEO SERVICES, EVEN IF WEB CEO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, WEB CEO'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO FIVE HUNDRED U.S. DOLLARS (US$ 500). YOU ACKNOWLEDGE THAT IF NO FEES ARE PAID TO WEB CEO FOR THE SERVICES, YOU SHALL BE LIMITED TO INJUNCTIVE RELIEF ONLY, UNLESS OTHERWISE PERMITTED BY LAW, AND SHALL NOT BE ENTITLED TO DAMAGES OF ANY KIND FROM WEB CEO, REGARDLESS OF THE CAUSE OF ACTION.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

SenderOK users may terminate the Terms at any time by sending notice to Web CEO which shall be effective upon processing such notice by Web CEO. Web CEO may terminate the Terms for any or no cause, at any time, with or without notice, which shall be effective immediately or as may be specified in the notice.

Web CEO adheres to the policy of terminating, in appropriate circumstances and at Web CEO’s sole discretion, users who are deemed to be repeat infringers under the United States Copyright Act. Web CEO may also at its sole discretion limit access to the SenderOK system and/or terminate the memberships of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

Upon termination, Web CEO shall delete the SenderOK profile and all data therein.

These Terms shall be governed by and construed in accordance with the laws of Ukraine without regard to conflict of laws principles. The Terms constitute the entire agreement between you and Web CEO and govern your use of the SenderOK software and the SenderOK website, superseding any prior agreements between you and Web CEO. If any provision of the Terms is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Terms will remain in full force and effect.

By using the SenderOK software and SenderOK website, you agree to receive emails from Web CEO. These emails will include notices about your account and information concerning or related to the Web CEO services. These emails are part of your relationship with Web CEO. You agree that any notice, agreements, disclosure or other communications that Web CEO sends to you electronically will satisfy any legal communication requirements.

You may not assign these Terms to anyone, and any assignment of these Terms by you will be null and void.

The SenderOK trade name, the SenderOK logo, and other SenderOK logos and names are trademarks of Web CEO. You agree not to display or use these trademarks in any manner without Web CEO’s prior written permission.

The section titles and numbering of this Agreement are displayed for convenience and have no legal effect.
